My dear Bushe,

Tai Koo Sugar Refining Company Limited.

I have only now succeeded in obtaining the opinion

of Counsel and herewith enclose you a copy. I do not

altogether agree with their views on question (3) as I am

of opinion that the Company could not obtain power to amend

their Memorandum of Association to enable them to sell water.

They could certainly go into liquidation with a view to

reconstruction and this I think would enable the Government

to terminate the agreement.

I think it would be well worth while asking the

Attorney-General for permission to institute proceedings

for an injunction in his name.
